Terms of Use

These Terms of Use ("Terms") govern your access to and use of the QuikUp mobile application and related services (collectively, the "Service") provided by QuikUp ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you are at least 13 years of age. If you are under 18, you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

2. Your Account

• You must provide accurate information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You are responsible for all activity that occurs under your account.
• You may not share your account with others or create accounts on behalf of someone else without their consent.
• You may delete your account at any time from Profile → Delete Account. Deletion is permanent and irreversible.

3. Description of the Service

QuikUp lets you create and join social events called Qups — parties, sports meetups, hangouts, food events, birthdays, and more. Core features include:

• Creating and discovering Qups with type, title, description, date, time, and location.
• Inviting others via a 6-character code or an invite link.
• Real-time group chat within each Qup.
• RSVP management (Going / Maybe / Not Going) and participant roles (Admin, Collaborator, Guest).
• Map pin for any Qup — available to all users.
• PRO features: polls, custom recurrence, and up to 50 participants — available via subscription or single-Qup purchase.

4. Subscriptions and Payments

• Subscriptions are processed through Apple App Store or Google Play and are subject to their respective terms and refund policies.
• Subscriptions renew automatically unless cancelled at least 24 hours before the end of the current billing period.
• You can manage and cancel your subscription at any time through your App Store or Google Play account settings.
• We do not process payment card data directly; all payments are handled by Apple, Google, or RevenueCat.
• We do not offer refunds outside of what is required by applicable law or the platform's refund policies.
• PRO Qup slots (up to 5 active simultaneously for subscribers) free up automatically when a Qup closes.
• Past event retention: non-recurring past Qups created by a free-tier organizer are automatically deleted 15 days after the event date. PRO Organizer subscribers keep their past Qups indefinitely. If a subscription expires, a new 15-day deletion window begins from the expiry date. A countdown is shown on affected events in the app.

5. User Content

You retain ownership of the content you create (messages, event details, poll options). By submitting content to the Service, you grant us a limited, non-exclusive licence to store and display that content to the relevant Qup participants solely for the purpose of operating the Service.

• You are solely responsible for the content you post.
• You represent that your content does not infringe any third-party rights.
• Content in a Qup is visible only to its participants.
• Messages may be deleted by the Qup admin or by yourself within 24 hours of sending. A notice is left in the chat whenever a message is deleted, to preserve conversation context.

6. Acceptable Use

You agree not to use the Service to:

• Post content that is unlawful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable.
• Harass, bully, intimidate, or harm any other user.
• Share content that infringes intellectual property rights of any third party.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Spam, send unsolicited messages, or advertise products or services without permission.
• Attempt to gain unauthorised access to any part of the Service or another user's account.
• Use automated scripts, bots, or other automated means to access the Service.
• Engage in any activity that interferes with or disrupts the Service.
• Violate any applicable law or regulation.

7. Moderation, Enforcement and Law Enforcement Cooperation

We reserve the right, but not the obligation, to review, monitor, and remove content that violates these Terms. Qup admins may remove participants or delete messages within their Qups. We may suspend or terminate accounts that repeatedly or severely violate these Terms, at our sole discretion, without notice.

If you believe content violates these Terms, you can report it in-app using the report function on any message.

We reserve the right to disclose your information, including account data and user-generated content, to law enforcement agencies, courts, or other public authorities when we are legally required to do so, or when we reasonably believe that disclosure is necessary to: (a) comply with a legal obligation or lawful request; (b) protect the rights, property, or safety of QuikUp, our users, or the public; or (c) detect, prevent, or otherwise address fraud, security, or illegal activity. You agree that we shall not be liable to you for any such disclosure made in good faith.

8. Intellectual Property

All rights in the Service — including the QuikUp name, logo, design, software, and all other content we create — are owned by us or our licensors and are protected by intellectual property law. These Terms do not grant you any right to use our trademarks, logos, or other brand features.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to the collection and use of your information as described in the Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

We are not responsible for the actions of other users or for any user-generated content shared on the Service.

11. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use of or inability to use the Service;
• Any unauthorised access to or use of our servers and/or any personal information stored therein;
• Any content obtained from the Service.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the 12 months prior to the claim.

12. Platform Status — Intermediary, Not Publisher

QuikUp is an online platform that enables users to organise and communicate within private social events. We are an intermediary service provider, not a publisher or author of user-generated content. We do not create, review, approve, or endorse any content posted by users before it is published, and we do not exercise editorial control over such content.

All content within a Qup — including event descriptions, chat messages, poll options, and any other user-generated material — is the sole responsibility of the user who creates or shares it. We expressly disclaim any liability arising from or related to content generated by users, including any illegal, harmful, offensive, or inaccurate content. The fact that the Service includes moderation tools (such as reporting, message deletion, or account suspension) does not make us an author or co-author of any content, nor does it imply any obligation to moderate all content at all times.

13. Indemnification

You agree to defend, indemnify, and hold harmless QuikUp and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of or access to the Service;
• Any content you post, transmit, or otherwise make available through the Service;
• Your violation of these Terms or any applicable law or regulation;
• Your violation of any third-party right, including any intellectual property right, privacy right, or contractual obligation;
• Any fraud, misrepresentation, or illegal activity carried out by you using the Service.

This indemnification obligation will survive the termination of your account and your use of the Service.

14. Termination

You may stop using the Service at any time by deleting your account. We may suspend or terminate your access to the Service at any time, with or without cause or notice, if we believe you have violated these Terms or if required by law. Upon termination, your right to use the Service ceases immediately.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top and, where appropriate, notify you via the app. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

16. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the Service shall be resolved in the competent courts of the jurisdiction in which we are established, unless mandatory consumer protection laws in your country provide otherwise.
